Tranmere have ended takeover negotiations with Club 9 Sports after the two parties were unable to reach agreement.
The US firm were confirmed as the company in preliminary talks with Rovers back in mid-February but, after months of discussions, any hope of a deal has ended in stalemate.
Rovers chairman Peter Johnson told the club's official website: "I'd like to thank Club 9 Sports for their interest in Tranmere Rovers but unfortunately we have been unable to reach agreement."
He added: "As chairman of the club I am looking forward to the forthcoming season."
Sheffield Wednesday were also involved in drawn-out investment negotiations with the American company before ending their talks without success in May 2010.
